Everything about the BV in the Netherlands
In this section we will tell you what it is like to have a BV in the Netherlands. A BV in the Netherlands is a legal form with legal personality. What that means in practice? Well, it means the following. Directors are in principle not liable for their private assets for any debts. If you want to set up a BV, you can do that with a person. But if you want to set up a BV with several people, that is also possible. Did you know that with a BV you do not need starting capital? Ideal right? That’s different with the NV, but we’ll tell you about that in another article. As a director, your private liability is limited. That is also good to know and for some people it is an important consideration whether or not to opt for a BV. If you choose the legal form of BV in the Netherlands, you choose a capital that is divided into shares. These shares are then owned by the shareholders. The highest power always lies with the shareholders, so they have the right to make decisions about the company – this is called voting rights. The shares can then also give rights to a portion of the profit, which is called profit entitlement. A BV can issue different types of shares. You can think of at least the following two types:
- Shares without profit entitlement
- Shares without voting rights
Would you like to know more? We’ll tell you shortly where to look for more information. It’s also good to know that there are directors. These directors are in charge of the day-to-day running of the company.
In the large BV, there is often more than one director. This is different with a small BV. In the small BV, in many cases there is only one director. This is often the sole shareholder. This is subject to special rules, especially when considering tax regulations. We will not withhold this information from you, because in our next article you will also read more about that.
